  • Get Government Agency shall hold the Confidential Information in confidence and shall exercise all reasonable diligence in ensuring that the Confidential Information is not disclosed to third parties and will refrain from using the Confidential Information for any purpose whatsoever other than for the purposes of this Agreement or for the purpose for which such information is supplied. Get Government Agency shall also ensure that confidential information, directly or indirectly, is not disclosed without prior written consent of the Get Government Agency.

  • In the event that Get Government Agency becomes legally compelled pursuant to any statutory or regulatory provision, court or arbitral decision, governmental order requirements to disclose any of the Confidential Information, the compelled Party, as far as possible will provide the Get Government Agency with prompt written notice. In any case, the compelled Party will furnish only that portion of the Confidential Information which is legally required and will exercise all reasonable efforts to obtain reliable assurance that confidential treatment will be accorded to the Confidential Information.

Terms And Conditions

  • At no point of time, Get Government Agency or his agents, representatives, shall claim any kind of employment with Get Government Agency.

  • Get Government Agency one time charges shall be governed by the marketing plan applicable to the users on time to time. All such payments shall be non-refundable service payments for franchise fee, software solution, training and administrative expenses. The specific terms of the engagement shall be governed by the current scheme present at the time of signing of the agreement. The offer letter of the same shall become part of this agreement as annexure and shall be abiding for the parties.

  • Payment of fees/commission shall be based on the centralized data of Get Government Agency and it shall be final and binding on Get Government Agency Payment to Get Government Agency would be made by Get Government Agency on weekly basis.

Terms And Termination

  • The Get Government Agency as well as Get Government Agency shall have right to terminate the agreement by giving three months notice in writing to the other party. In the event of termination of the agreement by Get Government Agency, all records, information including documents etc. shall be returned by Get Government Agency to the Get Government Agency as per instructions of the Get Government Agency.

  • The Get Government Agency shall have a right to terminate the agreement immediately by giving a notice in writing to Get Government Agency in the following eventualities :

    • If any Receiver/Liquidator is appointed in connection with the business of the Get Government Agency’s transfers substantial assets in favor of its creditors or any orders / directions are issued by any Authority / Regulator which has the effect of suspension of the business of Get Government Agency.

    • If Get Government Agency applies to the Court or passes a resolution for voluntary declaration as an Insolvent person or business entity or any other creditor /person files a petition for winding or dissolution of Get Government Agency.

    • If Get Government Agency , in the reasonable opinion of the Get Government Agency is unable to pay its debts or discharge its liabilities in normal course of business.

    • If Get Government Agency is unable to render the services up to the mark as envisaged under this agreement upon a reasonable assessment of the circumstances by the Get Government Agency which affect rendering of the services by Get Government Agency as envisaged under this agreement.

    • If any acts of commission or omission on the part of Get Government Agency or its agents, employees, representatives in the reasonable opinion of the Get Government Agency tantamount to fraud or prejudicial to the interest of the Get Government Agency or their customers.
